Why would I have an audit if my company is exempt?

Lenders, investors, prospective buyers and large customers frequently require audited figures and producing them retrospectively is harder than having them ready. An audit also provides genuine assurance where the owner has stepped back from daily oversight. Where none of that applies, an audit is a cost without a corresponding benefit. If you’re being asked for audited accounts and don’t know where to start, get in touch.

For financial years beginning on or after 6 April 2025, a private limited company is usually exempt from audit if it meets at least two of these three conditions: annual turnover of no more than £15 million, assets worth no more than £7.5 million and 50 or fewer employees on average. For financial years that began earlier, the lower thresholds of £10.2 million turnover and £5.1 million assets apply. Exemption is not universal — shareholders holding at least 10% can demand an audit in writing and some companies, public companies and most subsidiaries without a qualifying exemption among them, must be audited regardless of size. If you’re near the thresholds, have your position checked before year-end; finding an auditor in filing month is the expensive version.

Preserve the evidence and take advice before confronting anyone. Don’t delete access, alter records or open an informal conversation — each can destroy the evidence you’d later need and create employment law exposure. Secure system logs and financial records, restrict further access where you can do so without alerting the individual and involve an investigator early. More cases fail on contaminated evidence than on absent evidence. Call us before you speak to anyone internally.
